US Advertising and Online Sales Policy

This policy is intended to support fair competition, accurate product presentation, consistent brand representation, and a healthy authorized dealer network. PDL believes dealers that invest in representing the Poseidon brand well should be able to compete on a more level basis. PDL may revise this policy from time to time, and the current version made available by PDL will control.

Authorized Online Sales Channels

• Only dealers specifically authorized in writing by PDL may advertise or sell Poseidon branded products on the internet.
• Authorized dealers may advertise and sell Poseidon branded products only through their own approved and independently operated ecommerce websites.
• Each authorized dealer must notify PDL of every website, domain, or ecommerce location used to advertise or sell Poseidon branded products.
• Each authorized dealer website must clearly identify the dealer and display the dealer's direct telephone number and physical retail address.

Marketplace Restrictions

• Effective 30-Apr-2026, listings or sales of Poseidon branded products through third-party online marketplace platforms are not permitted. This includes, without limitation, Amazon, eBay, Walmart Marketplace, TikTok Shop, and similar marketplace channels.
• Any dealer marketplace listings for Poseidon branded products must be removed before 30-Apr-2026. On and after that date, dealers are not authorized to create, maintain, edit, reactivate, or advertise marketplace listings for Poseidon branded products.

Advertising Standards and MAP

• Dealers remain free to establish their own resale prices, but Poseidon branded products may not be advertised below the then-current MAP established by PDL for that item.
• Advertising practices intended to avoid or undermine MAP will be treated as violations of this policy. This includes advertised blanket discounts, coupon codes, reward points, instant rebates, package discounts, bundled offers, or similar promotions that reduce the advertised price below MAP.
• Statements such as "call for price," "click for price," "add to cart for price," "see price in checkout," or similar language implying a lower price after the advertised step are not permitted unless specifically approved by PDL.
• If multiple Poseidon items are advertised together as a package or bundle, the advertised package price must be at least equal to the combined MAP of the Poseidon items included in that offer.
• Dealers are responsible for maintaining current and accurate advertised pricing, product descriptions, and availability information at all times.
• If PDL has not designated a MAP for a particular product, that product is not subject to a minimum advertised price requirement, but all other provisions of this policy still apply.

Brand Presentation

• Poseidon branded products must be presented accurately and professionally.
• Only official Poseidon Diving Systems logos and product images supplied or approved by Poseidon or PDL, or the dealer's own original photography, may be used to represent Poseidon branded products.
• Use of unauthorized, misleading, altered, or inaccurate imagery, branding, or product presentation may be treated as a violation of this policy.

Used and Discontinued Products

• Discontinued products are not subject to MAP unless PDL states otherwise in writing.
• Previously sold or genuinely used products are not subject to MAP, provided they are clearly and conspicuously identified as "USED."
• Terms such as "open box," "demo," "like new," or similar descriptions are not acceptable substitutes for clearly identifying a product as used when the product is not new.

Policy Administration

• PDL may review dealer advertising and online sales activity for compliance with this policy.
• If PDL identifies an issue, PDL will ordinarily notify the dealer and request prompt correction. PDL may also respond as it considers appropriate under the circumstances. This may include a warning, a request for correction, suspension of shipments, restriction of online selling privileges, or termination of dealer status.
• PDL values dealer relationships and prefers that issues be resolved promptly and professionally when brought to the dealer's attention.

This policy applies to Poseidon branded products distributed by PDL for the US market.
